1. Acceptance of Terms

By accessing and using the Zinetics website and services ("Services"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our Services. These Terms constitute a legally binding agreement between you and Zinetics.

2. Description of Services

Zinetics provides software development services including but not limited to custom software development, web application development, mobile app development, UI/UX design, SaaS platform development, cloud solutions, AI and machine learning solutions, and enterprise software solutions. The specific scope, deliverables, timelines, and terms of any engagement will be outlined in a separate project agreement or statement of work.

3. User Responsibilities

When using our Services, you agree to:

• Provide accurate, current, and complete information when submitting inquiries or entering into agreements
• Cooperate with our team by providing necessary materials, feedback, and approvals in a timely manner
• Not use our website or Services for any unlawful purpose or in violation of any applicable laws
• Not attempt to gain unauthorized access to our systems, servers, or networks
• Not reproduce, distribute, modify, or create derivative works of our website content without prior written consent
• Not engage in any activity that could damage, disable, or impair the functioning of our website

4. Intellectual Property

All content on the Zinetics website, including but not limited to text, graphics, logos, icons, images, audio clips, software, and code, is the property of Zinetics or its licensors and is protected by intellectual property laws.

For client projects, intellectual property rights and ownership of deliverables will be defined in the project agreement. Unless otherwise specified, upon full payment, clients receive full ownership of custom code and deliverables created specifically for their project. Zinetics retains the right to use general methodologies, frameworks, and non-proprietary components developed during the engagement.

5. Project Agreements

All software development projects undertaken by Zinetics will be governed by a separate project agreement or statement of work that outlines the specific scope, deliverables, timelines, payment terms, and milestones. In the event of any conflict between these Terms and a specific project agreement, the project agreement shall prevail for matters specific to that project.

6. Payment Terms

Payment terms, schedules, and methods will be specified in the project agreement. Unless otherwise agreed, invoices are due within 30 days of issuance. Late payments may incur interest charges at the rate specified in the project agreement. Zinetics reserves the right to suspend work on any project with outstanding payments exceeding 30 days past due.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of engagement. This includes business strategies, technical specifications, trade secrets, customer data, and any information designated as confidential. This obligation survives the termination of any agreement for a period of three (3) years.

8. Warranties and Disclaimers

Zinetics warrants that all services will be performed in a professional and workmanlike manner consistent with industry standards. We provide a warranty period as specified in the project agreement during which we will fix any defects or bugs at no additional cost.

EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZINETICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR WEBSITE OR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM.

10. Termination

Either party may terminate a project engagement as specified in the project agreement. Zinetics reserves the right to terminate or suspend access to our website at any time without notice for conduct that violates these Terms or is harmful to other users, us, or third parties. Upon termination, all provisions that by their nature should survive will remain in effect, including intellectual property, confidentiality, and limitation of liability.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Zinetics operates, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration or the courts of competent jurisdiction.

12. Modifications

Zinetics reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting on this page. Your continued use of our website and Services after any modifications constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.
